Savings Agreement
Our pay‑as‑you‑save contract is simple and transparent. Here are the details of how we measure savings and invoice fees.
Baseline Period
We collect usage data for 7–14 days without impacting your workflows to establish a baseline of your current spend. During this period, Guard is inactive. The baseline captures run frequency, duration, GPU hours, memory consumption, artifacts and idle periods. The start and end dates of the baseline are agreed upon in writing.
Savings Definition
Savings are calculated as the difference between your baseline spend and your optimised spend over the same time period, adjusted for workload growth. Only cost reductions directly attributable to MLMind interventions – such as avoiding OOM loops, preventing duplicate runs, stopping idle jobs early and enabling GPU sharing – are included. Natural price variations, reserved instance arbitrage and independent rightsizing activities you perform are excluded.
Exclusions & Adjustments
One‑off migrations, hardware downgrades or vendor discounts that are not related to MLMind are excluded from savings calculations. If you change your cloud provider’s pricing plan or obtain new reserved capacity, we adjust the baseline accordingly. Savings are grossed up to account for any rebates or credits you receive directly from cloud providers.
Payment Schedule
We invoice you monthly or quarterly, depending on your preference. Each invoice contains a detailed report showing the baseline, optimised spend, savings amount and the 10% fee. Payment terms are net 30 days. All prices are shown in USD unless otherwise agreed.
Minimum Threshold & Guarantee
If the total savings in any billing period are below $500, no fee is charged for that period. This ensures you see material improvements before paying. If at any time during the first 90 days you are not satisfied with the results, you may terminate the agreement and owe nothing.
Cancellation & Termination
You may cancel the service at any time with written notice. Upon cancellation, we stop all data collection and guard actions, and we invoice only for savings realised up to the cancellation date. There are no long‑term lock‑ins or penalties.
